1. Agreement Overview

These Terms of Service ("Terms") govern your use of Content Ranch services provided by Mad Goat ("Mad Goat", "we", "our", or "us"). Content Ranch is a service brand operated by Mad Goat, not a separate company. All billing, subscriptions, and transactions are processed through Mad Goat.

By purchasing or using Content Ranch services, you agree to these Terms.

2. Service Description

Content Ranch is a fully managed website and content service that:

• Sets up and manages websites for you and/or your clients
• Publishes SEO-focused content based on agreed topics/verticals
• Includes hosting and SSL certificates
• Manages publishing, hosting, and routine site maintenance

We handle hosting, content generation, and site maintenance. You (or your client) retain ownership of domains and content.

3. Your Responsibilities

Domain Authorization: You must own or have proper authorization to connect and manage any domains or subdomains submitted to our service (including client domains).

DNS / Domain Mapping: You are responsible for pointing your domain or subdomain DNS to our hosting servers as instructed.

Legal Compliance: You must ensure your sites and intended use comply with all applicable laws and regulations.

Content Guidelines: While we create content, you remain responsible for ensuring your sites don't violate laws or third-party rights.

4. Our Service Commitments

Hosting: We provide reliable hosting with industry-standard uptime goals.

Content Generation: We deliver unique content for each site as part of your subscription.

Technical Support: We provide customer support to help maintain site functionality.

Data Ownership: You retain full ownership of all content we create for your sites.

5. Billing

Billing: All subscriptions are billed monthly in advance through Mad Goat. When you subscribe, you pay for the upcoming month of service immediately.

No Contracts: All plans are month-to-month with no long-term commitments.

Cancellation Policy: You may cancel your subscription at any time, but you must cancel at least 1 day before your next scheduled billing date to avoid being charged for the following month. Once you cancel with proper notice, your service will continue through the end of your current paid period, but you will not be charged for subsequent months.

Example: If your billing date is the 15th of each month, you must cancel by the 14th to avoid the next month's charge. If you cancel on the 14th, you keep service until the 15th but won't be billed for the next cycle.

6. Service Limitations

Content Volume: Content follows our standard publishing schedule. Custom content requests are not included.

Customization: While basic branding customization is available, extensive custom development is not part of standard service.

Performance: We cannot guarantee specific SEO results, rankings, or traffic levels.

Third-Party Integrations: You may add analytics or other third-party tools, but we don't provide technical support for external services.

7. Service Changes and Availability

We reserve the right to:

• Modify service features with reasonable notice
• Temporarily suspend service for maintenance
• Update these Terms with 30 days notice for material changes

We strive for high availability but cannot guarantee 100% uptime.

8. Content and Intellectual Property

Content Ownership: All content we create for your sites belongs to you.

Content Standards: Generated content aims to be original and relevant, but you remain responsible for compliance with applicable laws.

Domain Rights: You (or your client) retain full rights to domains and may export your content if you cancel service.

9. Account Termination

Your Right to Cancel: Cancel anytime without penalties. Service continues through your current billing period.

Our Right to Terminate: We may suspend or terminate accounts for:

• Non-payment
• Violation of these Terms
• Illegal use of our services
• Abusive behavior toward our team

Data Upon Termination: You may download your content for a reasonable period after cancellation.

10. Disclaimers

Service Results: We provide services but cannot guarantee specific business outcomes, SEO improvements, rankings, traffic, or revenue results.

Third-Party Dependencies: Some features rely on external services (DNS, payment processors, etc.) beyond our direct control.

Content Accuracy: While we generate content in good faith, you should review and verify any information published on your sites.

11. Limitation of Liability

Our liability is limited to the amount you paid for services in the 12 months preceding any claim. We are not liable for indirect, consequential, or punitive damages.

This limitation applies to the fullest extent permitted by law.

12. Indemnification

You agree to defend and hold harmless Mad Goat from claims arising from:

• Your use of domains you don’t properly own, control, or have authorization to manage
• Legal violations related to your sites' content or use
• Third-party claims related to your domain names

13. Dispute Resolution

Governing Law: These Terms are governed by the laws of Ontario, Canada.

Disputes: We encourage resolving disputes through direct communication. If formal resolution is needed, disputes will be handled in Toronto, Ontario courts.

14. General Terms

Entire Agreement: These Terms, along with our Privacy Policy, constitute the complete agreement between us.

Severability: If any provision is found unenforceable, the remaining Terms continue in effect.

Assignment: We may assign these Terms in connection with business transfers. You may not assign your account without our consent.

16. Changes to Terms

We may update these Terms periodically. Material changes will be communicated with 30 days advance notice. Continued use of services after changes take effect constitutes acceptance of updated Terms.
